This Addendum sets forth additional or amended terms and conditions for the use of Ai Services defined below and listed or referenced in the Order Form referencing this Addendum, which are in addition to, and unless expressly provided to the contrary, without limitation of, the provisions in the Agreement. In the event of a direct conflict between this Addendum and the Agreement or any other document, the applicable portion of this Addendum will control.
Softrip may, from time to time, update this Addendum in its sole discretion. Such updated Addendum will go into effect immediately upon the earlier of, Customer’s receipt of notification of a change, or Customer’s continued use of the Ai Services. If Customer objects to any such update to this Addendum, Customer’s sole recourse, and Softrip’s sole liability, will be, following receipt of written notification from the Customer, to cease use of the applicable Ai Services and all portions of the Platform or Connectors related to such Ai Services.
- Definitions.
- “Ai Services” means artificial intelligence features and functionality in the Softrip Platform, identified in an Order Form.
- “Platform” means Softrip’s travel booking and management platform and related solutions made generally available and ordered by or for Customer as identified in an Order Form, including any Ai Services, generally-available updates, upgrades, hot-fixes, emergency patches, or other such versions as Softrip releases generally to all customers with an active subscription to the Platform. The Platform includes Connectors (whether separately charged or otherwise) but excludes Third-Party Products.
- Ai Services Terms, Restrictions.
- Use Right. The Ai Services are offered only as a Softrip Hosted Service, and any terms in your Terms of Use or MSA with Softrip associated with use of, access to, or the availability of copies of Softrip on premise software, applications or Customer Hosted Installations shall not apply to the Ai Services. Customer may use the Ai Services for the Subscription Term set forth in the Order Form subject to the restrictions in the Agreement and the terms of this Addendum.
- Usage Policy.
- Ai Use Restrictions. Customer will not, and will not permit its Users to: (a.) use the Ai Services in violation of applicable laws; (b.) use the Ai Services to violate third party rights; (c.) extract data from the Ai Services other than as permitted through the Ai Services; (d.) buy, sell, or transfer API keys from, to, or with a third party; (e.) interfere with or disrupt the Ai Services, nor circumvent any rate limits, restrictions or bypass for the Ai Services.
- It is Customer’s responsibility to evaluate whether outputs (e.g. the content generated by the Ai Services) are appropriate for Customer’s use case, including where human review is appropriate, before using or sharing such outputs. Customer acknowledges, and must notify its Users, that factual assertions in outputs should not be relied upon without independently checking their accuracy, as they may be false, incomplete, misleading or not reflective of recent events or information.
- Use of Ai Services using technology from Anthropic requires Customer and all Users to comply with, and incorporate into any User Terms, Anthropic’s Usage Policy: Usage Policy \ Anthropic.
- Customer will immediately remedy any failure to conform to the Anthropic Usage Policy upon receipt of written notice from Softrip, and any failure to do so may result in suspension or termination of the relevant Ai Services.
- Customer-Hosted Installations. Customer may use the Ai Services with Customer’s hosted Platform. However please note the Ai Services are provided with, and subject to the terms of the Softrip hosted Platform only; no on premise version of Softrip software will be provided for the Ai Services, nor will any on premise version of the Ai Services be made available.
- Customer Data Use. Customer owns the Customer Data. Softrip will have worldwide rights to use Customer Data to host, copy, access, transmit, display the Customer Data, in order to administer, maintain and improve the Ai Services, without training Ai LLMs.
- Intellectual Property Rights. Softrip and its suppliers retain all right, title, and interest, including all patent, copyright, trademark, trade secret, and other intellectual property rights in and to the Ai Services, any modifications, and derivative works thereto, and any machine learning algorithms, and the aggregated results of such machine learning. Except for the express limited rights stated in the Agreement, and this Addendum, no right, title, or interest in any Softrip Technology is granted to Customer. Customer has no right to obtain a copy of the underlying computer code for the Ai Services.
- Suspension of Ai Services. In addition to any of its other rights or remedies (including, without limitation, any termination rights) stated in the Agreement, Softrip reserves the right to suspend the provision of the Ai Services: (i) if Softrip reasonably believes it is necessary to avoid or mitigate the effects of a Security Incident; (ii) any vendor suspends or terminates Softrip or its licensee’s use of any third-party services or products required to enable Customer to access the Ai Services; or (iii) for Customer or its Users non- conformity with the Use Restrictions or Anthropic Usage Policy. Customer will reasonably assist Softrip in addressing questions about its use of the Ai Services.
